1. Introduction

These Terms & Conditions govern your access to and use of Bidzen.ai, an AI-powered RFP analysis and bid execution platform operated by GEMTECH PARAS SOLUTIONS PVT. LTD.

By accessing or using Bidzen.ai, you agree to these Terms. If you are using Bidzen.ai on behalf of a company, partnership, firm, institution, or other organization, you confirm that you have authority to bind that organization to these Terms.

If you do not agree to these Terms, you must not use Bidzen.ai.

2. About Bidzen.ai

Bidzen.ai helps business teams analyze complex RFPs, tenders, bids, and contract documents. The platform may assist with document summaries, requirement extraction, compliance checklists, task organization, workflow tracking, deadline management, document management, bid preparation support, analytics, and related SaaS-based tools.

Bidzen.ai is a support and productivity platform. It does not replace professional judgment, legal review, commercial review, technical review, tender compliance review, or final management approval.

3. Eligibility and Business Use

Bidzen.ai is intended for business and professional use. You must use the platform only for lawful business purposes.

You must not use Bidzen.ai for personal misuse, unlawful activity, unauthorized access, document theft, misrepresentation, fraudulent bidding, or any activity that violates applicable law, tender rules, platform policies, or third-party rights.

4. Account Registration and Access

To use certain features, you may need to create an account. You agree to provide accurate, complete, and updated information.

You are responsible for maintaining the confidentiality of your login credentials and all activity under your account.

If you create users for your team, you are responsible for assigning proper roles, permissions, and access rights. You must promptly remove users who no longer require access.

We may suspend or restrict access if we suspect unauthorized use, security risk, non-payment, misuse, or violation of these Terms.

5. Subscription Plans and Payments

Bidzen.ai is offered as a subscription-based SaaS service. Subscription plans, pricing, features, usage limits, billing cycles, and renewal terms may be specified on the website, proposal, invoice, order form, or commercial agreement.

You agree to pay all applicable fees, taxes, charges, and renewal amounts as per the selected plan or agreed commercial terms.

Unless otherwise stated, subscription fees are payable in advance.

Failure to make payment may result in suspension, restriction, or termination of access.

6. Refund Policy

Subscription fees, setup fees, onboarding fees, implementation charges, customization charges, consulting charges, and paid service fees are generally non-refundable once access, onboarding, platform setup, document processing, user creation, customization, training, or service delivery has started.

Refunds may be considered only in the following cases:

  • A duplicate payment is received.
  • An incorrect amount is charged due to a billing error.
  • A paid plan is not activated due to a fault solely attributable to Bidzen.ai.
  • A written refund commitment is specifically provided in the applicable commercial proposal, order form, or agreement.

No refund will be provided for:

  • Non-usage of the platform.
  • User-side delay in uploading documents or using services.
  • Dissatisfaction caused by business outcome, bid rejection, tender cancellation, buyer decision, technical disqualification, commercial disqualification, or non-award of contract.
  • AI-generated output requiring correction or independent review.
  • Change in customer requirements after activation.
  • Termination due to violation of these Terms.

Approved refunds, if any, will be processed to the original payment method or adjusted against future invoices within a reasonable time, subject to payment gateway timelines, tax rules, and internal approval.

7. Customer Data and Uploaded Documents

You retain ownership of documents, data, files, tender details, RFP records, workflow data, and business information uploaded by you or your authorized users.

You grant GEMTECH PARAS SOLUTIONS PVT. LTD. a limited right to host, process, analyze, store, display, transmit, and use such data only to provide, maintain, secure, and improve Bidzen.ai and related services.

You confirm that you have the lawful right and required permissions to upload and process all documents and data through Bidzen.ai.

You must not upload confidential, personal, regulated, third-party, or restricted information unless you are authorized to do so.

8. AI Outputs and Independent Review

Bidzen.ai may generate AI-assisted summaries, checklists, requirement extractions, risk flags, document drafts, workflow suggestions, and analytics.

Mandatory Independent Verification

All AI outputs are provided for assistance only. You must independently verify every AI-generated output before relying on it, sharing it, submitting it, or using it for any business, legal, technical, financial, compliance, or tender-related decision.

We do not guarantee that AI outputs will be accurate, complete, current, compliant, or suitable for any specific RFP, tender, bid, contract, buyer requirement, law, rule, or commercial purpose.

You remain fully responsible for final bid decisions, pricing decisions, technical submissions, declarations, documents, deadlines, eligibility, compliance, and submissions.

9. No Guarantee of Tender or Business Outcome

Bidzen.ai does not guarantee bid qualification, technical acceptance, financial opening, L1 status, contract award, buyer approval, payment realization, compliance approval, tender success, or business revenue.

Public and private procurement outcomes depend on multiple factors outside our control, including buyer decisions, tender conditions, portal rules, document quality, eligibility, pricing, competition, evaluation methods, and regulatory requirements.

10. Acceptable Use

You must not:

  • Use Bidzen.ai for unlawful, fraudulent, misleading, or harmful activities.
  • Upload malicious code, viruses, corrupted files, or harmful content.
  • Attempt to reverse engineer, copy, scrape, damage, overload, or interfere with the platform.
  • Access another customer’s account or data without permission.
  • Use automated bots or scripts without written approval.
  • Misuse AI features to create false, misleading, illegal, defamatory, or non-compliant documents.
  • Upload data that infringes intellectual property, confidentiality, privacy, or contractual rights.
  • Use the platform to violate tender rules, procurement laws, anti-corruption laws, or fair competition principles.

11. Intellectual Property

Bidzen.ai, including its software, platform design, workflows, algorithms, AI systems, dashboards, interfaces, logos, trademarks, documentation, templates, databases, and proprietary methods, is owned by or licensed to GEMTECH PARAS SOLUTIONS PVT. LTD.

You receive a limited, non-exclusive, non-transferable, revocable right to use Bidzen.ai during your active subscription, subject to these Terms.

You must not copy, sell, resell, license, modify, reproduce, distribute, or create derivative products from Bidzen.ai without our written permission.

12. Feedback and Suggestions

If you provide feedback, ideas, suggestions, or improvement requests, we may use them to improve Bidzen.ai without any obligation to compensate you.

13. Confidentiality

Both parties may receive confidential business, technical, commercial, or operational information. Each party must use reasonable care to protect confidential information and must not disclose it except as required for service delivery, legal compliance, professional advice, or with prior authorization.

This obligation does not apply to information that is publicly available, already known without restriction, independently developed, or lawfully received from another source.

14. Data Protection and Privacy

Our handling of personal data is described in our Privacy Policy. By using Bidzen.ai, you agree to the Privacy Policy.

You are responsible for ensuring that your uploaded documents and user data comply with applicable data protection, privacy, confidentiality, and procurement rules.

15. Third-Party Services

Bidzen.ai may integrate with or rely on third-party services such as cloud hosting, AI models, payment gateways, email services, analytics tools, document processing tools, and communication tools.

We are not responsible for third-party service interruptions, errors, security incidents, policy changes, pricing changes, or performance issues outside our reasonable control.

Your use of third-party services may be subject to their own terms and policies.

16. Platform Availability and Changes

We aim to provide reliable access to Bidzen.ai, but we do not guarantee uninterrupted, error-free, or continuous availability.

The platform may be unavailable due to maintenance, updates, security issues, technical failures, internet problems, third-party service issues, force majeure events, or other reasons.

We may add, modify, suspend, or discontinue features from time to time. We will try to avoid material disruption, but we are not liable for feature changes made for security, compliance, improvement, or operational reasons.

17. Beta Features and Experimental Tools

Some features may be released as beta, pilot, trial, or experimental tools. Such features may be incomplete, unstable, limited, or changed without notice.

Beta features are provided on an “as is” basis and should not be used as the sole basis for critical business, legal, compliance, or tender decisions.

18. Suspension and Termination

We may suspend or terminate your access if:

  • You fail to pay applicable fees.
  • You violate these Terms.
  • You misuse the platform.
  • Your use creates security, legal, or operational risk.
  • We are required to do so by law or authority.
  • Your subscription expires or is not renewed.

You may stop using the platform at any time, but stopping use does not automatically entitle you to a refund.

After termination, access to the platform may be disabled. We may retain or delete data in accordance with our Privacy Policy, commercial agreement, legal obligations, and internal retention practices.

19. Disclaimers

Bidzen.ai is provided on an “as is” and “as available” basis.

To the maximum extent permitted by law, we disclaim all warranties, whether express, implied, statutory, or otherwise, including warranties of accuracy, completeness, fitness for a particular purpose, merchantability, non-infringement, uninterrupted availability, and error-free operation.

We do not warrant that Bidzen.ai will meet every business requirement, identify every risk, detect every compliance issue, or prevent every error in bid preparation.

20. Limitation of Liability

To the maximum extent permitted by law, GEMTECH PARAS SOLUTIONS PVT. LTD., its directors, officers, employees, consultants, affiliates, service providers, and partners shall not be liable for any indirect, incidental, special, consequential, exemplary, punitive, or business loss, including loss of profit, loss of revenue, loss of contract, loss of tender opportunity, loss of data, loss of goodwill, business interruption, bid rejection, disqualification, non-award of contract, missed deadline, pricing error, or procurement outcome.

Our total aggregate liability for any claim arising out of or related to Bidzen.ai shall not exceed the subscription fees actually paid by you to us for the specific Bidzen.ai service during the three months immediately preceding the event giving rise to the claim.

This limitation applies whether the claim is based on contract, tort, negligence, strict liability, statute, or any other legal theory.

21. Indemnity

You agree to indemnify and hold harmless GEMTECH PARAS SOLUTIONS PVT. LTD., its directors, employees, affiliates, service providers, and partners from any claims, losses, damages, liabilities, penalties, costs, or expenses arising from:

  • Your use or misuse of Bidzen.ai.
  • Your uploaded documents or data.
  • Your violation of these Terms.
  • Your violation of law, tender rules, third-party rights, confidentiality obligations, or procurement conditions.
  • Your final bid submission, pricing, declarations, representations, or business decisions.
  • Unauthorized use of your account.

22. Force Majeure

We will not be liable for delay or failure caused by events beyond our reasonable control, including natural disasters, war, civil disturbance, strikes, internet failures, power failures, cyberattacks, government action, regulatory changes, platform outages, third-party service failures, or force majeure events.

23. Notices and Communication

We may send notices through email, platform notifications, website updates, invoices, or other reasonable communication methods.

You are responsible for keeping your contact details updated.

24. Governing Law and Jurisdiction

These Terms shall be governed by the laws of India.

Subject to applicable law, courts at New Delhi shall have exclusive jurisdiction over disputes arising from or related to these Terms or Bidzen.ai.

25. Changes to These Terms

We may update these Terms from time to time. Updated Terms will be posted on the website with a revised effective date. Continued use of Bidzen.ai after updates means you accept the revised Terms.
